Tarakits Terms of Service

Version 0.2-draft · Effective [EFFECTIVE DATE]

What this covers (plain language)

  • Tarakits is booking software. It shows you a venue's schedule and lets you reserve a slot. The venue, not Tarakits, sells you the court time.
  • You pay the venue directly: through the venue's own online checkout, a QR code that belongs to the venue owner, or at the venue. Tarakits never receives, holds or refunds your money.
  • Cancellations and refunds follow the venue's policy, which you see before you pay, plus some minimum protections Tarakits requires of every venue.
  • Be honest and respectful. Reviews must come from real bookings.
  • Our liability is limited as far as Philippine law allows. Philippine law applies.

These Terms are an agreement between you and [COMPANY NAME], a [corporation / one person corporation / sole proprietorship] registered in the Philippines under [SEC/DTI REG. NO.], with address at [ADDRESS] ("Tarakits", "we", "us"). They apply when you use the Tarakits website, web app, Messenger bot or any other Tarakits service (the "Service").

Businesses that list on Tarakits ("Venues") also agree to the separate Venue Terms. Our Privacy Notice, Booking and Refund Policy and Acceptable Use Policy form part of these Terms.

1. Accepting these Terms

1.1 You accept these Terms by ticking the acceptance box when you create an account or make your first booking. We record the version you accepted and when.

1.2 Age. You must be at least 18 years old to create an account and make bookings. A person under 18 may play at a venue on a booking made by a parent, guardian or other responsible adult, who is responsible for them. [LAWYER REVIEW: age threshold and minors.]

1.3 If you use Tarakits for a company, club or group, you confirm you may bind it to these Terms.

2. What Tarakits is, and is not

2.1 Tarakits is an intermediary. We provide software that lets Venues publish their resources (courts, rooms and so on), schedules, prices and policies, and lets you reserve and pay for them.

2.2 The Venue is the seller. Each booking is a contract between you and the Venue. The Venue sets the price, the rules and the cancellation policy, provides the facility, and is responsible for the safety and condition of its premises. The Venue is responsible for issuing you any official invoice or receipt required by tax law.

2.3 Tarakits is not the merchant of record and does not handle your money. We do not collect, hold, pool, transfer or pay out payments for bookings. A Tarakits booking confirmation is not a BIR invoice.

2.4 We verify Venues before they go live (see section 7), but we do not guarantee any Venue's facilities, staff, conduct or ability to perform. We do not own, run or inspect venues on an ongoing basis.

3. Your account

3.1 You can sign in with Google, Facebook or your mobile number. Keep your sign-in credentials secure. You are responsible for activity on your account unless it results from our failure to secure the Service.

3.2 One profile, many venues. Your Tarakits profile is used at every Venue you book with. Only you (and Tarakits, for support and safety) can edit it. A Venue can't see or edit your profile. It sees the contact details you give for a booking and its own history with you (your bookings, visits and loyalty there), never your activity at other Venues. See the Privacy Notice.

3.3 Give accurate information and keep it up to date. Tell us at [SUPPORT EMAIL] if you think your account has been misused.

3.4 Venue loyalty programmes. A Venue may give you points or a tier for your bookings there, under rules it sets and shows on its page. The Venue runs its programme and is responsible for it; Tarakits only provides the software. Points have no cash value. You can't sell, transfer or exchange them for cash, or use them at another Venue or with Tarakits. A Venue may change or end its programme. Points are deleted if you opt out at that Venue, close your account, or don't book there for 24 months. There are no Tarakits-wide points.

4. Booking

4.1 Holds. When you choose a slot, we hold it for a short time (shown on screen, currently 15 minutes for online payment) while you pay. If payment isn't completed in time, the hold lapses and the slot is released.

4.2 Confirmation. A booking is confirmed only when Tarakits shows it as Confirmed. Depending on the payment mode the Venue uses:

Payment mode When the booking is confirmed
Online (the Venue's own payment gateway account, e.g. PayMongo) when the gateway reports the payment as successful
Direct to owner (the owner's own QR or bank account) when the Venue confirms it received your payment; until then it shows as Pending verification
Pay at venue it is reserved as Unpaid and you pay on arrival; the Venue may cancel unpaid reservations under its stated policy

4.3 Price. The price shown at checkout is set by the Venue and is computed by our system from the Venue's rules. If a Venue charges its own booking fee, it is shown as a separate line and belongs to the Venue.

4.4 Errors. If a booking is created because of an obvious system error (for example, a clearly wrong price or a double booking), we or the Venue may cancel it, and the Venue must refund you in full.

5. Payments go directly to the Venue

5.1 You pay the Venue directly. When you pay online, the payment is processed by the Venue's own payment provider under that provider's terms; your card or e-wallet details go to the provider, not to us.

5.2 When you pay by direct-to-owner QR, you pay the Venue owner's own account. Upload a clear proof of payment if asked. Only pay to the account shown inside the Tarakits checkout for that booking. Tarakits will never ask you to pay a personal account through chat, SMS or email.

5.3 Because we never receive your money, we cannot refund it ourselves. Refunds are made by the Venue (section 6). We will help you with records of your booking, payment and check-in if you need to dispute a payment with your bank, e-wallet or payment provider, or bring a complaint to the authorities.

6. Cancellations and refunds

6.1 Each Venue sets its cancellation policy, which is shown before you pay. The Booking and Refund Policy sets the minimum protections every Venue must give, including a full refund when the Venue cancels, cannot provide the slot, or a double booking occurs.

6.2 The Venue is responsible for paying refunds it owes you. If a Venue does not honour a confirmed booking or refund you as required, report it to us (section 9). We may suspend that Venue and will give you its registered contact details and the evidence we hold.

7. Venue verification

Before a Venue can take bookings, we check its owner's identity and its proof of the venue, and a Tarakits administrator approves it. A "Verified" badge means only that these checks were completed at the time. It is not a guarantee of the Venue's performance.

8. Reviews and content

8.1 You can review a Venue only after a booking that was completed or checked in. Reviews must be honest, based on your own experience, and follow the Acceptable Use Policy.

8.2 You keep ownership of what you post. You give Tarakits a non-exclusive, royalty-free, worldwide licence to host, display and reproduce it on the Service and in promoting the Service, for as long as it is on the Service and a reasonable time after.

8.3 We do not edit reviews to change their meaning. We may remove content that breaks these Terms or the law, or that we are ordered to remove. Venues can reply to reviews but cannot remove them.

9. Reporting problems

Use Report a problem on your booking, or email [SUPPORT EMAIL], if a Venue is closed, the slot isn't available, you were asked to pay outside the app, or a listing seems fake. We aim to respond within [2] business days and may suspend a Venue while we investigate.

10. Your conduct

You agree to follow the Acceptable Use Policy and the Venue's house rules. We may limit, suspend or close accounts that break these Terms, for example by repeated no-shows, fake bookings, harassment or fraud. Where reasonable, we tell you why and let you respond.

11. Health and safety

Sport carries a risk of injury. You take part at your own risk, as far as the law allows. The Venue is responsible for its premises. Tarakits does not supervise play.

12. Disclaimers

12.1 We provide the Service "as is" and "as available". We work to keep it accurate and running, but we do not promise it will be uninterrupted or error-free.

12.2 Nothing in these Terms excludes any right you have under the Consumer Act (RA 7394), the Internet Transactions Act (RA 11967) or other law that cannot be excluded by contract.

13. Limitation of liability

13.1 Tarakits is not liable for: the acts or omissions of a Venue, including failure to provide a booked slot or to pay a refund; injury or loss at a Venue; or indirect or consequential loss.

13.2 Otherwise, our total liability to you for any claim about the Service is limited to the greater of (a) ₱[5,000] and (b) the amount you paid for the booking concerned.

13.3 These limits do not apply to liability for fraud, bad faith, gross negligence or wilful misconduct, or any liability that cannot be limited under Philippine law (Civil Code, Art. 1170–1172 and related provisions). [LAWYER REVIEW: enforceability of caps against consumers; ITA Sections 26–27 platform liability.]

14. Force majeure

Neither we nor the Venue is liable for failure to perform caused by events beyond reasonable control, such as typhoons, floods, earthquakes, power or internet outages, government orders or civil unrest. The minimum refund rules in the Booking and Refund Policy still apply when a booked slot cannot be used.

15. Changes to the Service and to these Terms

15.1 We may change the Service. We may change these Terms by posting a new version with a new version number and effective date.

15.2 For material changes we will notify you at least [15] days before they take effect, and you will be asked to accept the new version the next time you sign in or book. If you don't agree, you may close your account; existing confirmed bookings stay under the version you accepted.

16. Closing your account

You can close your account at any time from your profile or by emailing [SUPPORT EMAIL]. Upcoming bookings are handled under the Venue's policy. We keep some records after closure as explained in the Privacy Notice.

17. Disputes and governing law

17.1 These Terms are governed by the laws of the Republic of the Philippines.

17.2 Contact us first at [SUPPORT EMAIL] so we can try to resolve the issue. If it isn't resolved within [30] days, either party may go to the proper courts of [CITY], Philippines, without prejudice to your right to file a complaint with the Department of Trade and Industry (including its E-Commerce Bureau), the National Privacy Commission, or to use small claims procedures. [LAWYER REVIEW: venue clause vs consumer's residence.]

17.3 Disputes about a booking itself (quality, refund) are between you and the Venue. We will provide the records we hold to help resolve them.

18. Electronic contract and notices

These Terms are an electronic contract under the Electronic Commerce Act (RA 8792). We send notices to the email or mobile number on your account or through the Service. You can reach us at [SUPPORT EMAIL] or [ADDRESS].
